I want a faded underlay to show up of the first floor on my second floor plan.
I copied the first floor into my second floor file and and faded it.
When I go to 3d view, it models the first floor inside my second floor.
What can I do?

Did you place a reference mark yet?

Use a reference point on both plans. The circular reference point has some particular properties that are useful. See this post ... http://softplan.com/...ouse/#entry5596

If you drew your first floor plan on a layer on your second floor plan, you can easily delete it. If not then you will probably have to delete each item separately ... or go into each item and remove from model, although there are some items you can't remove from model.
As a general rule, ONLY use one floor plan on each drawing.
As David said, you should use the OVERLAY feature to do what you wanted. The reference points will ensure everything lines up correctly.
